Terms of Service

1. Acceptance of Terms

By accessing or using the Opsmatiq platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Opsmatiq is a cloud-based enterprise resource planning (ERP) platform that provides accounting, inventory management, purchasing, sales, and point-of-sale functionality. The Service is provided on a subscription basis and includes:

  • Access to the Opsmatiq web application and its modules
  • Data storage and processing within your tenant environment
  • Software updates and maintenance
  • Technical support as defined by your subscription plan

3. Account Registration

To use the Service, you must register an organization account ("Tenant") and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all users within your organization comply with these Terms

4. Subscription and Payment

4.1 Plans and Pricing. The Service is available under various subscription plans. Pricing details are available on our website. We reserve the right to modify pricing with 30 days' prior notice.

4.2 Billing. Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan. All fees are non-refundable except as required by law.

4.3 Late Payment. If payment is not received within 15 days of the due date, we may suspend access to the Service. Your data will be retained for 90 days following suspension, after which it may be permanently deleted.

4.4 Taxes. All fees are exclusive of taxes. You are responsible for paying all applicable taxes, levies, and duties.

5. Your Data

5.1 Ownership. You retain all rights to the data you enter into the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License. You grant us a limited license to use, process, and store Your Data solely for the purpose of providing the Service to you.

5.3 Data Isolation. Your Data is logically isolated from other tenants' data. We implement technical measures to prevent unauthorized cross-tenant data access.

5.4 Data Export. You may export Your Data at any time during your active subscription. Upon termination, you will have 30 days to export Your Data before it is permanently deleted.

5.5 Backups. We perform regular backups of the Service. However, you are responsible for maintaining your own backups of critical business data.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to other tenants' data or any part of the Service infrastructure
  • Upload or transmit malicious code, viruses, or any harmful content
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without written consent
  • Use the Service to process data that violates export control laws

7. Service Availability

7.1 Uptime. We strive to maintain 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance.

7.2 Support. Technical support is available according to your subscription plan. Response times and support channels vary by plan tier.

7.3 Modifications. We may modify the Service from time to time, including adding or removing features. We will provide reasonable notice of material changes.

8. Intellectual Property

The Service, including all software, designs, text, and graphics, is owned by Opsmatiq and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during the subscription term.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Opsmatiq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10.2 Our total liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

10.3 The Service is provided for business use. We are not liable for any decisions made based on data processed through the Service, including but not limited to financial, tax, or inventory decisions.

11. Indemnification

You agree to indemnify and hold Opsmatiq harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws or regulations.

12. Termination

12.1 You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

12.2 We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if required by law.

12.3 Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days to allow for export, after which it will be permanently deleted.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. General

14.1 Governing Law. These Terms are governed by the laws of the jurisdiction in which Opsmatiq is registered, without regard to conflict of law principles.

14.2 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Opsmatiq regarding the Service.

14.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
